1. Agreement to Terms
By accessing or using the Kontak mobile application (the “App”) as a Client, you agree to be bound by these Terms and Conditions for Clients (the “Client Terms”). If you do not agree to these Client Terms, you may not use the App to find or engage Service Providers. These Client Terms are supplemental to the general Terms of Service of the Kontak App, and in case of conflict, these Client Terms shall prevail for Clients.
2. Definitions
Capitalized terms used but not defined in these Client Terms have the meanings given to them in the general Terms of Service of the Kontak App.
“App”: Refers to the Kontak mobile application and any related websites, services, and tools.
“Kontak Technologies, Inc.”: Refers to the entity that owns and operates the App.
3. Client Accounts
3.1. Registration: Upon registration as a Client, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.
3.2. Service Requests: You can submit requests for services through the App, providing details about the type of service needed, location, date, time, and any specific requirements.
4. Engaging Service Providers
4.1. Selection: You are responsible for selecting and engaging Service Providers at your own discretion and risk. Kontak Technologies, Inc. provides a platform to connect Clients and Service Providers but does not endorse or guarantee the quality, reliability, or suitability of any Service Provider or the Services they provide.
4.2. Communication: You agree to communicate professionally and respectfully with Service Providers through the App’s communication features regarding your service requests.
4.3. Service Agreements: Any specific terms or agreements for the provision of Services are solely between you and the Service Provider. Kontak Technologies, Inc. is not a party to such agreements.
5. Fees and Payment
5.1. Payment Obligation: You agree to pay the Fees agreed upon with the Service Provider for the Services provided.
5.2. Payment Methods: Payments will be processed through the payment methods facilitated by the App. You agree to provide accurate and valid payment information.
5.3. Disputes: Any disputes regarding the Services provided or the Fees charged are to be resolved directly between you and the Service Provider. Kontak Technologies, Inc. may, at its sole discretion, offer assistance in resolving disputes but has no obligation to do so.
6. Ratings and Reviews
You may have the opportunity to rate and review Service Providers based on your experience. You agree to provide honest and accurate feedback.
7. Termination
Kontak Technologies, Inc. may terminate or suspend your account and your ability to engage Service Providers through the App at any time, with or without cause, and without prior notice or liability. Grounds for termination may include, but are not limited to, violation of these Client Terms or the general Terms of Service, negative feedback from Service Providers, or conduct deemed harmful to the Kontak App community. You may terminate your account as a Client at any time by following the account deletion procedures within the App.
8. Disclaimer of Warranties
In addition to the disclaimers in the general Terms of Service, you acknowledge that Kontak Technologies, Inc. does not warrant or guarantee the quality, suitability, safety, or ability of Service Providers or the Services they provide. All interactions with Service Providers are at your own risk.
9. Limitation of Liability
In addition to the limitations of liability in the general Terms of Service, Kontak Technologies, Inc. shall not be liable for any damages arising out of or relating to the Services provided by Service Providers or your interactions with Service Providers.
10. Indemnification
In addition to the indemnification clause in the general Terms of Service, you agree to indemnify and hold Kontak Technologies, Inc. and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or in any way connected with (a) the services you receive from Service Providers, (b) your interactions with Service Providers, or (c) your breach of these Client Terms.
11. Governing Law and Dispute Resolution
These Client Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or relating to these Client Terms or your use of the App as a Client shall be subject to the exclusive jurisdiction of the courts of The Philippines.
12. Changes to These Client Terms
Kontak Technologies, Inc. reserves the right to modify or revise these Client Terms at any time in its sole discretion. If we make material changes to these Client Terms, we will provide notice of such changes, such as by posting the revised terms on the App or sending an email notification. Your continued use of the App as a Client after the effective date of the revised Client Terms constitutes your acceptance of the changes.
